1. Agreement to Terms

By accessing or using Vigilia ("the Service") at aivigilia.com, you agree to be bound by these Terms of Service ("Terms"). The Service is owned and operated by Dear Wise Earth Inc ("we", "us", "our"), a company operating under the trading name "Vigilia". If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By creating an account or purchasing a compliance report, you confirm that you are at least 18 years of age and have the legal authority to enter into this agreement on behalf of yourself or your organisation.

2. Description of Service

Dear Wise Earth Inc provides, through the Vigilia platform, an AI agent governance tool that maps AI agent networks, detects structural compliance gaps against regulatory frameworks (including the EU AI Act, NIST AI RMF, ISO/IEC 42001, and others), and generates compliance reports in exchange for a fee of €499 per report.

The Service includes: agent graph mapping, governance scoring, anti-pattern detection, remediation roadmap generation, and a downloadable PDF compliance report.

Important: Vigilia reports are technical gap analyses only. They do not constitute legal advice, legal opinions, or formal regulatory filings. You should obtain independent legal advice before relying on any report for regulatory compliance purposes.

3. User Accounts

To use the Service, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at gregorio.vonhildebrand@aivigilia.com if you suspect any unauthorised use of your account.

You may not use another person's account without permission, or create accounts for the purpose of abusing the Service.

4. Payments and Billing

Compliance reports are priced at €499 per report. Payment is processed securely via our payment provider at the time of report generation. All prices are quoted in euros and are exclusive of any applicable taxes unless stated otherwise.

You authorise Vigilia to charge the payment method you provide for the applicable fees. All fees are non-refundable except as stated in our Refund Policy.

We reserve the right to change pricing at any time. Price changes will not affect reports already purchased.

5. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Dear Wise Earth Inc and its licensors. The Service is protected by copyright, trademark, and other laws.

Upon payment, you receive a non-exclusive, non-transferable licence to use the compliance report generated for your organisation for internal compliance and regulatory purposes only. You may not resell, redistribute, or sub-licence the report content without prior written consent.

You retain ownership of any data you upload or input into the Service (such as agent descriptions, data access lists, and organisational information). By submitting this data, you grant Dear Wise Earth Inc a limited licence to process it solely for the purpose of generating your report.

6. Acceptable Use

You agree not to use the Service to:

• Upload false, misleading, or fraudulent agent data for the purpose of obtaining a compliance report that misrepresents your organisation's actual AI governance posture
• Attempt to reverse-engineer, scrape, or extract the underlying scoring methodology or AI models
• Resell or redistribute reports generated by the Service as your own product without a commercial reseller agreement
• Violate any applicable law or regulation
• Interfere with the security or integrity of the Service

7. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Dear Wise Earth Inc does not warrant that the Service will be uninterrupted, error-free, or completely secure.

Compliance reports are generated using automated analysis of the data you provide. The accuracy of the report depends entirely on the accuracy and completeness of the information you submit. Dear Wise Earth Inc does not independently verify agent data.

Vigilia reports are not a substitute for legal advice. We make no guarantee that following the remediation steps in a report will result in full regulatory compliance with the EU AI Act or any other framework.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Dear Wise Earth Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

In no event shall Dear Wise Earth Inc's total liability to you for all claims arising out of or relating to the Service exceed the amount you paid in the twelve months preceding the claim.

9. Termination

We may suspend or terminate your account and access to the Service at our sole discretion, without notice, if we believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease.

You may close your account at any time by contacting us at gregorio.vonhildebrand@aivigilia.com. Termination does not entitle you to a refund of any fees paid, except as provided in the Refund Policy.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the European Union and, where applicable, the laws of Spain, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts.

11. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the new Terms on this page with an updated date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
